Privacy Policy

Agreement to Terms

By submitting your name and email address and clicking 'I Agree,' you ('Viewer') acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ('Agreement'). If you do not agree, do not proceed with the demo.

This Agreement governs your access to the Proofline product demonstration ('Demo') made available through Storylane or any other platform designated by Proofline ('Company').

Confidentiality

All content contained in or accessible through the Demo, including but not limited to product features, workflows, user interface design, data structures, proprietary processes, and business logic, constitutes confidential and proprietary information of the Company ('Confidential Information').

As a Viewer, you agree to:

  • Hold all Confidential Information in strict confidence;

  • Not disclose, publish, or transmit any Confidential Information to any third party, whether in written, oral, electronic, or any other form;

  • Use the Confidential Information solely for the purpose of evaluating a potential business relationship with the Company;

  • Take all reasonable precautions to prevent unauthorized access to or disclosure of the Confidential Information.

Your confidentiality obligations survive the termination of this Agreement and your access to the Demo for a period of three (3) years from the date of access.

Restrictions on Use

You expressly agree that you will NOT, without prior written consent from the Company:

  • Copy, screenshot, screen-record, download, or otherwise reproduce any portion of the Demo in any medium or format;

  • Duplicate, replicate, or create derivative works based on any element of the Demo or its underlying content;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or methodologies underlying the Demo or the Proofline platform;

  • Recreate, reconstruct, or imitate, in whole or in part, any feature, workflow, interface, or functionality demonstrated in the Demo;

  • Use any information obtained from the Demo to build, assist in building, or inform the development of any competing product or service;

  • Share, forward, post, or otherwise distribute the Demo link or any access credentials with any other person or entity;

  • Allow any third party to view, access, or use the Demo through your credentials or link;

  • Use automated tools, bots, or scraping technologies to access or extract content from the Demo.

Intellectual Property Rights

All intellectual property rights in and to the Demo and the Proofline platform, including patents, patent applications, copyrights, trade secrets, trademarks, and proprietary methodologies, are and shall remain the exclusive property of the Company.

You acknowledge that the Company holds a provisional patent covering certain innovations reflected in the Demo, including without limitation location-triggered enforcement mechanisms, evidence capture and validation processes, AI-assisted field data collection, and exception-handling workflows. Nothing in this Agreement or your access to the Demo shall be construed as granting you any license, right, or interest in any patent, pending patent, or other intellectual property of the Company, whether by implication, estoppel, or otherwise.

Any feedback, suggestions, or ideas you voluntarily provide regarding the Demo or the Proofline platform may be used by the Company without restriction, compensation, or attribution.

No Reproduction or Competitive Use

You expressly agree not to use any knowledge, concepts, designs, or insights gained from accessing the Demo to:

  • Develop or contribute to the development of any product or service that competes with Proofline or the Company;

  • Advise, consult with, or assist any third party in developing a competing product or service;

  • File or assist in filing any patent, trademark, copyright, or other intellectual property application that incorporates or is derived from any concept, feature, or methodology you observed in the Demo.

Link Sharing Prohibition

The Demo access link provided to you is personal, non-transferable, and intended solely for your individual use. You agree that you will not share, post, embed, forward, or otherwise distribute the Demo link, or any derivative link or access method, to any other person, platform, or organization. Unauthorized sharing of the Demo link constitutes a material breach of this Agreement.

Data Collection and Use

By accessing the Demo, you consent to the Company collecting the personal information you provide, including your name and email address, for the following purposes:

  • Verifying your identity and authorization to access the Demo;

  • Following up regarding the Demo or a potential business relationship;

  • Internal sales, marketing, and product development communications.

The Company will not sell, rent, or transfer your personal information to any third party for their independent marketing or commercial purposes. The Company may share your information with service providers acting on its behalf, subject to confidentiality obligations. By accessing the Demo, you acknowledge and consent to this data collection and use.

Viewer Representations

By accessing the Demo, you represent and warrant that:

  • The information you provided in the access form is accurate and complete, and you are who you claim to be;

  • You are not accessing the Demo on behalf of, or for the benefit of, any company or individual that competes with Proofline or the Company, and you have no intent to use the Demo or any information derived from it for competitive purposes;

  • You have the authority to enter into this Agreement on behalf of yourself and, if applicable, your organization;

  • Your access to and use of the Demo will comply with all applicable laws and regulations.

You acknowledge that the Company is relying on these representations in granting you access, and that any material misrepresentation constitutes a breach of this Agreement.

Term and Termination

This Agreement is effective upon your submission of the access form presented at the Proofline demo link and remains in effect until terminated. The Company reserves the right to revoke your access to the Demo at any time, for any reason or no reason, without prior notice and without liability to you.

Upon termination or expiration of your access, all restrictions on use of Confidential Information and all provisions relating to intellectual property, indemnification, limitation of liability, and governing law shall survive and remain in full force and effect.

Right to Modify Terms

The Company reserves the right to modify, update, or replace these Terms and Conditions at any time and at its sole discretion, without prior notice to any Viewer. The version in effect at the time of your access governs your use of the Demo. Continued access to the Demo following any modification constitutes your acceptance of the revised Agreement. It is your responsibility to review these Terms and Conditions periodically for any changes.

No Warranty; Limitation of Liability

The Demo is provided for evaluation purposes only and on an 'as-is' basis. The Company makes no representations or warranties of any kind, express or implied, regarding the Demo's accuracy, completeness, or fitness for any particular purpose. In no event shall the Company be liable for any indirect, incidental, consequential, or punitive damages arising from your access to or use of the Demo.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Demo; (b) your breach of any representation, warranty, or obligation under this Agreement; or (c) your violation of any applicable law or the rights of any third party.

Remedies for Breach

You acknowledge that any breach or threatened breach of Sections 2, 3, 4, 5, or 6 of this Agreement would cause irreparable harm to the Company for which monetary damages would be an inadequate remedy. Accordingly, the Company shall be entitled to seek injunctive or other equitable relief, without bond or other security, in addition to all other remedies available at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Georgia, and you hereby consent to the personal jurisdiction of such courts.

Entire Agreement

This Agreement constitutes the entire agreement between you and the Company with respect to your access to the Demo and supersedes all prior understandings, communications, or agreements, written or oral, relating to the same subject matter.
